Master Service Agreement

This Agreement governs your use of our products and services.

By accepting this agreement either by executing an order form, filling out a form on our website, consulting any of our staff, upon signature of a Budson a scope of work, Purchasing any of Budsons products or services, explicitly implying you are interested in purchasing any of our services, You agree to the terms of this agreement, If you are entering this agreement as a legal representative for another company, you are legally representing that firm and agree that you have authority to bind them to this agreement.

This Agreement was last updated on January 7, 2018. It is effective between You and Us as of the date of Your accepting this Agreement as above.

You may not access our Services if You are Our direct competitor. Budson reserves the right to revoke access to our services and or products at any time if we consider you in breach of this agreement or any other active Budson agreements.

Budson is a pay per service company, as such, all communication, consultation, customization, any time consuming work on behalf of the customer will be billed in accordance with the customers agreed billable rate. If the customer does not have an agreed upon rate, the customer agrees, through acceptance of this agreement, to our standard MSA rate of 175 USD Per Hour.

Budson’s minimum billable time is 0.25 of an hour (15 minutes). This means any request, task, communication (including emails), consultation, customization, any time consuming work conducted for the customer will be billed at a minimum of 15 minutes.

Budson records an executive summary of all work completed. Any recording and or logging of tasks (example step by step) outside of our standard log will be billed at the customers agreed billable rate. If the customer does not have an agreed upon rate, the customer agrees, through acceptance of this agreement, to our standard MSA rate.

Budson reserves the right to contact any person(s) in acceptance of this agreement, for a period of 12 months after most recent acceptance of this agreement. As such, if you are an Active Budson Customer we reserve the right to contact you with marketing materials and recommendations of our products and services.

Budson requires dedicated administrative access to your systems to provide any of our services, unless specifically stated and agreed upon in a separate Budson agreement.

Budson is a remote services provider. All of our services are provided on a remote basis. Any onsite work will be specifically stated in a written and signed agreement. Our onsite sessions are billed at a minimum of 1 working day (8 Hours). Any onsite services the customer agrees to travel charged at 75% of the agreed billable rate. All meals expensed for all of Budson present staff/representatives. If the customer does not have an agreed billable rate, the customer agrees, through acceptance of this agreement, to our standard MSA rate.

Your Responsibilities: You will (a) be responsible for Users’ compliance with this Agreement, Documentation and Order Forms/SOW’s, (b) be responsible for the accuracy, quality and legality of Your Data, the means by which You acquired Your Data and Your use of Your Data with our Services, (c) use commercially reasonable efforts to prevent unauthorized access to or use of Services and Content, and notify Us promptly of any such unauthorized access or use, (d) use Services and Content only in accordance with this Agreement, Documentation, Order Forms/SOW’s and applicable laws and government regulations, and (e) comply with terms of service of any Budson Applications with which You use Services or Content.

Definitions: “We,” “Us” or “Our” means Budson as the  company described throughout this agreement.

“You” or “Your” means, in the case of an individual accepting this Agreement on his or her own behalf, such individual, or in the case of an individual accepting this Agreement on behalf of a company or other legal entity, the company or other legal entity for which you are accepting this Agreement, and Affiliates of that company or entity which have entered into agreement.
